Short Description

To build on the Business Organisations course and to provide a more detailed examination of particular areas of Company Law, the legal organisation of business structures and the controls placed thereon

Timetable

2 hour weekly seminars - Monday 1100-1300. The class extends over Semesters 1 & 2.

Requirements of Entry

At least a C pass in Business Organisations at the first attempt. This course is only available to LL.B students

Assessment

1. 2500 word Summative Essay (25%)

2. 3 hour examination (75%).

Are reassessment opportunities available for all summative assessments? No

Reassessments are normally available for all courses, except those which contribute to the Honours classification. For non Honours courses, students are offered reassessment in all or any of the components of assessment if the satisfactory (threshold) grade for the overall course is not achieved at the first attempt. This is normally grade D3 for undergraduate students and grade C3 for postgraduate students. Exceptionally it may not be possible to offer reassessment of some coursework items, in which case the mark achieved at the first attempt will be counted towards the final course grade. Any such exceptions for this course are described below. 

Course Aims

To build on the Business Organisations course and to provide a more detailed examination of particular areas of Company Law, the legal organisation of business structures and the controls placed thereon.

 

To examine the role and regulation of capital markets in the context of providing finance for companies.

 

To provide an opportunity for analysis and comment on the purpose and effectiveness of selected legal rules.

 

To enhance the developing skills of legal research, reasoning, analysis and interpretation involved in the use of source mater-ial.

Intended Learning Outcomes of Course

By the end of this course students will be

■ Familiar with the issues relevant to company law

■ Familiar with and able to understand the structure, principles and rules of company law

■ Familiar with current developments in company law

■ Able to use and analyse original sources

■ Familiar with the role of capital markets in financing companies
